The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals. We refer to the earlier announcements dated 4 July 2025 and 7 August 2025 in relation to the Proposals. On behalf of the Board, UOBKH wishes to announce that the conditions precedent of the SSA and Subscription Agreement were fulfilled on 6 November 2025 and accordingly the SSA and Subscription Agreement have turned unconditional on even date.
