We refer to the announcements made on 24 September 2025, 2 October 2025, 24 October 2025 and 31 October 2025 in relation to the Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the Board had on 12 November 2025 (“Price-fixing Date”) fixed the issue price for the second tranche of the Private Placement at RM0.0136 per Placement Share (“Issue Price”).

The Issue Price is at a discount of RM0.0014 or approximately 9.33% to the 5-day volume weighted average market price of Nexgram Shares up to and including 11 November 2025 (being the last market day immediately preceding the Price-fixing Date) of RM0.015 per Nexgram Share.
