References are made to the announcements dated 17 March 2025, 15 July 2025 and 26 August 2025 in relation to the Proposed Acquisition of DS Services (“Announcements”). Unless otherwise defined, the definitions used herein shall have the same meaning as defined in the Announcements.

On 15 July 2025, on behalf of the Board, TA Securities announced that iMedia and the DS Services Vendors had mutually agreed to extend the Conditional Period to a period not later than 14 November 2025 to fulfil the Conditions Precedent.

On 26 August 2025, on behalf of the Board, TA Securities announced that the Board has resolved to renegotiate the terms of the DS Services SSA with the DS Services Vendors. This action is in response to broader shifts in the economic environment, market condition and industry dynamics pertaining to the business operations of DS Services Group following the execution of the LOI since 28 November 2023. In this regard, the Proposed Acquisition of DS Services was not tabled for the approval of the shareholders of the Company at its EGM held on 18 September 2025.

On behalf of the Board, TA Securities wishes to announce that iMedia and the DS Services Vendors had, vide a letter of variation dated 14 November 2025, mutually agreed to extend the Conditional Period to a period not later than 28 November 2025 to allow additional time to renegotiate the terms of the DS Services SSA.

The Board will make the necessary announcements on the status of the renegotiation of the DS Services SSA in due course.

Save for the above, all other terms and conditions in the DS Services SSA remain unchanged.
