(I) PROPOSED ACQUISITION; AND 
(II) PROPOSED SUBSCRIPTION

(COLLECTIVELY, THE "PROPOSALS")

Reference is made to Turiya’s announcements on 15 August 2025 and 23 October 2025 (“Announcements”) in relation to the Proposals. Unless otherwise stated, all defined terms and abbreviations used in this announcement shall carry the same meaning as those defined in the Announcements.

 

On behalf of the Board, Mercury Securities wishes to announce that:-

  1. Turiya Properties and the Vendor had on 17 November 2025 mutually agreed to extend the Conditional Period of the SPA which ends on 17 November 2025 to 22 December 2025 in relation to the Proposed Acquisition; and 
  2. Turiya Properties and the Subscriber had on 17 November 2025 mutually agreed to extend the Long Stop Date of the Subscription Agreement from 17 November 2025 to 22 December 2025 in relation to the Proposed Subscription.

Save as disclosed above, there are no other changes to the terms of the SPA and Subscription Agreement respectively.
