(Unless otherwise defined, the definitions and terms set out in the announcements dated 21 February 2025 and 2 September 2025 shall apply herein).

The Board of Directors of the Company wishes to announce that the Company had on 19 November 2025 incorporated Jujin EPMB Automotive Components (Malaysia) Sdn. Bhd. [Registration No. 202501054196 (1655602-K)] (“Jujin EPMB”), a company with an issued and paid up share capital of RM100.00 comprising 100 ordinary shares, representing 100% of the issued and paid up share capital of Jujin EPMB.

Pursuant to the Joint Venture Shareholder Agreement on 29 August 2025 (“JVA” or “the Agreement”) with Hainan Juruisheng Holding Co., Ltd. (“HJHC”), the equity participation in the capital of Jujin EPMB shall as follows: -

The paid-up capital of Jujin EPMB will increase in stages, the equity participation ratio will remain unchanged at 30% : 70%.

The primary objective of the Jujin EPMB is manufacturing, production, and distribution of passenger car seats in Malaysia (“Business”).

The incorporation of Jujin EPMB does not have any effect on the issued and paid-up share capital and substantial shareholders’ shareholdings structure of the Company as well as the earnings and net assets of the Company and its Group of Companies for the financial year ending 31 December 2025.

None of the Directors and/or major shareholders and/or persons connected with them have any interest, direct or indirect, in the aforesaid incorporation.

Having considered all aspects of the incorporation, the Board of Directors of the Company is of the opinion that the incorporation is in the best interest of the Company.
