The Board of Directors of Genetec wishes to announce that Genetec had on 21 November 2025 entered into a share purchase agreement for the disposal of 10% of its equity interest in Genetec Arthika Sdn Bhd (formerly known as FAS Technology Solution Sdn Bhd) (“Genetec Arthika” or “the Company”), a wholly-owned subsidiary of Genetec, to Guru Thandi (“Guru”) (“Share Purchase Agreement”) and a collaboration agreement with Guru to regulate their relationship as shareholders in Genetec Arthika and to make provision for their collaboration for business opportunities in India and China, as well as in any other regions as may be mutually designated by Genetec and Guru from time to time (“Territory”) (“Collaboration”) (“Collaboration Agreement”).
