PRIVATE PLACEMENT OF UP TO 84,996,600 NEW ORDINARY SHARES IN SERSOL ("SERSOL SHARE(S)" OR "SHARE(S)") ("PLACEMENT SHARE(S)"), REPRESENTING NOT MORE THAN 10% OF THE TOTAL NUMBER OF ISSUED SHARES OF THE COMPANY (EXCLUDING TREASURY SHARES, IF ANY) ("PRIVATE PLACEMENT")

We refer to the announcements dated 2 April 2024, 9 April 2024, 28 November 2024, 6 December 2024, 21 May 2025 and 10 July 2025 in relation to the Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the Board has on 25 November 2025 (“Price Fixing Date”) fixed the issue price for the Placement Shares at RM0.018 each (“Issue Price”).

The Issue Price represents a discount of RM0.0020 or 10.00% to the 5-day volume weighted average market price of Sersol Shares up to and including 24 November 2025, being the last trading date immediately preceding the Price Fixing Date, of RM0.0200 per Sersol Share.
