Reference is made to the Circular to Shareholders (Circular) of Paramount Corporation Berhad (Paramount) dated 16 October 2025 and announcement dated 31 October 2025 in relation to the following proposals:

1. Proposed RPS subscription;
2. Proposed extension and amendment of CRNCPS Subscription Agreement;
3. Proposed call and put option extension; and
4. Proposed extension and amendment of Master Lease Agreement

(collectively referred to as Proposals, all as defined in the Circular).

Further to the aforesaid, Paramount wishes to announce that Dynamic Gates Sdn Bhd (Registration No. 201801032225 (1294251-P) (DGSB) has, on this 27 November 2025, entered into a sale and purchase agreement (SPA) with Majestic Anson Sdn Bhd (Registration No. 202501050082 (1651490-D)) (MASB) for the disposal of the tertiary education campus located at No. 32, Jalan Anson, 10400 Pulau Pinang, described as George Town Campus in the Circular, by DGSB to MASB for a total cash consideration of RM75,000,000.00, and upon such terms and conditions as contained in the SPA.
