ADJUSTMENT TO THE EXERCISE PRICE OF WARRANTS 2021/2028 ("WARRANTS") IN CAPITAL A BERHAD ("CAPITAL A" OR "COMPANY") PURSUANT TO THE DISTRIBUTION BY CAPITAL A OF 1,692,307,692 NEW ORDINARY SHARES IN AIRASIA X BERHAD ("AAX"), BEING PART OF THE CONSIDERATION SHARES TO BE RECEIVED FROM AAX PURSUANT TO THE DISPOSAL BY CAPITAL A OF ITS 100% EQUITY INTEREST IN AIRASIA AVIATION GROUP LIMITED TO AAX, TO THE ENTITLED SHAREHOLDERS OF CAPITAL A BY WAY OF A REDUCTION AND REPAYMENT OF THE COMPANY'S ISSUED SHARE CAPITAL PURSUANT TO SECTION 116 OF THE COMPANIES ACT 2016 ("DISTRIBUTION")

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 02 Dec 2025
2) The last date of lodgment : 03 Dec 2025

Remarks :

On 19 November 2025, Capital A announced that shareholders of the Company whose names appear in the Record of Depositors of the Company as at 5.00 p.m. on Wednesday, 3 December 2025 ("Entitlement Date") shall be entitled to the Distribution Shares ("Entitled Shareholders"). (Please refer to the announcement reference number: ENT-17112025-00012).

The exercise price of the outstanding Warrants will be adjusted pursuant to the Distribution in accordance with the provisions of the Deed Poll dated 18 November 2021 ("Deed Poll") ("Adjustment"). The adjusted exercise price of the outstanding Warrants after the Adjustment will be announced and the notice setting out the Adjustment will be despatched to the Warrants holders in due course. The effective date of the Adjustment is on Thursday, 4 December 2025, being the next market day following the Entitlement Date.
