Unless otherwise defined, all abbreviations and definitions used herein shall have the same meaning as defined in the Announcement dated 26 November 2025.
Further to the Company’s Announcement dated 26 November 2025 in respect to the Winding Up Petition, the Company wishes to announce the following additional information: -
1. To explain the circumstances or event that led to the Petitioner proceeded with Statutory Notice of Demand and state the nature of the outstanding sum i.e. the work or services that relates to it.
Widad Builders appointed Charter Built Builders Sdn. Bhd. (“CBB”) as a subcontractor for a project known as Rangkaian Paip Pembetungan Di Bayan Baru, Pulau Pinang (Fasa 2) (“the Project”). CBB then subcontracted out works involving pipe jacking through rocks (“sub-contract works”) to the Petitioner.
The Petitioner initiated a claim for payment against CBB through Construction Industry Payment and Adjudication Act 2012 (“CIPAA 2012”) for works it allegedly performed but remain unpaid by CBB and obtained adjudication decision on 21 February 2025, whereby CBB was ordered to pay the adjudicated sum and costs associated with the adjudication.
The Petitioner served an originating summon in High Court of Malaya Kuala Lumpur against Widad Builders as a principal for the Project, pursuant to Section 30 of CIPAA 2012. On 17 September 2025, the court ordered that Widad Builders pay the adjudicated sum and costs associated with the adjudication to the Petitioner.
On 14 October2025 the Petitioner served a notice of demand pursuant to Section 466 of Companies Act 2016, calling upon the respondent to make payment as per court order dated 17 September 2025.
2. To state the reason(s) for the delay in making an immediate announcement on the Winding Up Petition.
The delay in making an immediate announcement was that the Company received the Winding-Up Petition on 17 November 2025, which was delivered to the Company’s Construction Department. The document was subsequently handed to the Chief Operating Officer, who was out of office on 21 November 2025.
Upon his return, the petition was forwarded to Management on the afternoon of 21 November 2025. Management immediately reviewed the matter and seek further information and clarification from the Company’s solicitors, prepared the draft announcement, and tabled it to the Board for deliberation on 25 November 2025.
Following the Board’s review and approval, the Company made the necessary announcement to Bursa Malaysia the next day, on 26 November 2025. The announcement was made the following day after the Board Meeting as the meeting ended rather late at 6.30 p.m.
The Company will continue to monitor the situation closely and make further announcements as required under the Listing Requirements.
