CIMB-C2C - Notice of Book Closure

ADJUSTMENT TO THE TERMS AND CONDITIONS OF THE EUROPEAN STYLE NON-COLLATERALISED CASH SETTLED CALL WARRANTS OVER ORDINARY SHARES OF CIMB GROUP HOLDINGS BERHAD ("CIMB") ("CIMB-C2C") IN RELATION TO A SINGLE-TIER SPECIAL DIVIDEND OF 7 SEN PER ORDINARY SHARE FOR THE FINANCIAL YEAR ENDING 31 DECEMBER 2025 ("SPECIAL DIVIDEND")

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 12 Dec 2025

2) The last date of lodgment : 15 Dec 2025

Remarks :

In accordance with Part 1 of the Deed Poll dated 22 October 2024, the Exercise Ratio and Exercise Price of CIMB-C2C will be adjusted as follows:

a. Adjusted Exercise Ratio = E x [(P - D) / P]

b. Adjusted Exercise Price = X x [(P - D) / P]

whereby:

P = Closing price of CIMB shares on the last market day on which CIMB shares are traded on a cum-entitlement basis

D = RM0.0700, being the Special Dividend per one (1) CIMB Share

X = RM7.0000, being the existing Exercise Price of CIMB-C2C immediately prior to the Special Dividend

E = 6.0000, being the existing Exercise Ratio of CIMB-C2C immediately prior to the Special Dividend

We shall make the announcement on the actual adjustments to CIMB-C2C on the Last Cum Date (i.e. 11 December 2025).

No adjustment shall be made to the Exercise Ratio or the Exercise Price if the adjustment would amount to less than 2% of the Exercise Ratio or the Exercise Price being changed.
