We refer to the announcements dated 18 July 2025, 5 August 2025 and 19 September 2025 as well as the Company’s circular dated 27 October 2025 (“Circular”) in relation to the Proposals. Unless otherwise stated, the definitions set out in the previous announcements and Circular shall apply herein.
On behalf of the Board, SCA wishes to announce that the original Long Stop Date for the Proposed Disposal on 4 November 2025 had been automatically extended by one (1) month to 4 December 2025 (“First Extension”) pursuant to the terms of the SPA, as certain Conditions Precedent under the SPA had not been fulfilled or waived by the original Long Stop Date.
As at the date of this announcement, the First Extension has expired and the said Conditions Precedent remain pending fulfilment or waiver. In accordance with the SPA, Abelco has exercised its contractual right to request for a further one (1) month extension from the expiry of the First Extension. Accordingly, the Long Stop Date is now extended to 4 January 2026 (“Second Extension”).
The Company will continue to monitor the progress of the fulfilment of the Conditions Precedent and will make further announcements in due course should there be any material developments.
