1. INTRODUCTION

MCE Holdings Berhad (“MCE” or “the Company”) wishes to announce that BEAUCAR ACCESSORIES (M) SDN. BHD. [Registration No. 198301007578 (102803-P)] ("Beaucar"), an indirect wholly owned subsidiary had on 5 December 2025 commenced Member's Voluntary Winding-Up pursuant to Section 439(1)(b) of the Companies Act 2016 ("Winding-Up").

2. DETAILS OF BEAUCAR UNDER WINDING UP

a) Date of Incorporation : 16 June 1983

b) Principal Activity Prior to Winding Up : Trading of Spare Parts and other trading goods.

c) Issued Share Capital : RM60,000.00

3. RATIONALE

Beaucar is currently inactive and has no intention to carry on its business or operations in the future. The Winding Up will reduce administrative expenses and costs.

4.EFFECTS OF THE WINDING UP

The Winding Up of Beaucar will not have any material financial or operational effect on the MCE Group for the current financial year ending 31 July 2026.
