We refer to the announcements made on 24 September 2025, 2 October 2025, 24 October 2025, 31 October 2025, 12 November 2025 and 19 November 2025 in relation to the Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the Board had on 9 December 2025 (“Price-fixing Date”) fixed the issue price for the third and final tranche of the Private Placement at RM0.0140 per Placement Share (“Issue Price”).

The Issue Price is at a discount of RM0.0015 or approximately 9.68% to the 5-day volume weighted average market price of Nexgram Shares up to and including 8 December 2025 (being the last market day immediately preceding the Price-fixing Date) of RM0.0155 per Nexgram Share.
