LISTING'S CIRCULAR NO. L/Q : 68360 OF 2013

ADJUSTMENT TO THE EXERCISE PRICE AND THE NUMBER OF OUTSTANDING WARRANTS 2009/2019 OF HARVEST COURT INDUSTRIES BERHAD (“HCIB”) (“HCIB WARRANTS 2009/19”) IN ACCORDANCE WITH THE DEED POLL DATED 23 OCTOBER 2009 GOVERNING THE HCIB WARRANTS 2009/19 PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 90,091,282 NEW ORDINARY SHARES OF RM0.25 EACH IN HCIB (“HCIB SHARES” OR “SHARES”) (“RIGHTS SHARES”) AT AN ISSUE PRICE OF RM0.25 PER SHARE TOGETHER WITH UP TO 45,045,641 FREE DETACHABLE WARRANTS IN HCIB (“RIGHTS WARRANTS”) ON THE BASIS OF TWO (2) RIGHTS SHARES AND ONE (1) RIGHTS WARRANT FOR EVERY SIX (6) EXISTING HCIB SHARES HELD AT 5.00 P.M. ON 30 JULY 2013 (“RIGHTS ISSUE WITH WARRANTS”)(“ADJUSTMENTS”).

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted [ "Ex - Adjustment" ]
as from : [ 26 July 2013 ]

2) The last date of lodgement : [ 30 July 2013 ]

Remarks :- The notice of books closure in relation to the Rights Issue with Warrants has been announced on 16 July 2013.

Warrantholders may exercise any of their HCIB Warrants 2009/19 and be entitled to subscribe for the Rights Shares. To exercise their HCIB Warrants 2009/19, such warrantholders must lodge their duly completed subscription forms together with the subscription monies in accordance with the provisions of the Deed Poll, to HCIB’s share registrar, Mega Corporate Services Sdn Bhd, Level 15-2, Bangunan Faber Imperial Court, Jalan Sultan Ismail 50250 Kuala Lumpur so as to arrive not later than 5.00 p.m. on 18 July 2013 in order to be allotted the new HCIB Shares and be included into HCIB’s Record of Depositors on or before 30 July 2013 (“Entitlement Date”).

Warrantholders who fail to lodge such duly completed subscription forms together with the subscription monies by 5.00 p.m. on 18 July 2013 may not be registered in HCIB's Record of Depositors by the Entitlement Date.

Warrantholders who partially/do not exercise their HCIB Warrants by 5.00 p.m. on 18 July 2013 and whose name appear in the Record of Depositors for warrantholders on the Entitlement Date would be entitled to the Adjustments. The Adjustments will only be finalised on the Closing Date (i.e. 16 August 2013) and will be effective on the following Market Day.

A notice to the warrantholders on the Adjustments will be despatched to the warrantholders in due course.

As at 5 July 2013, being the latest practicable date prior to this announcement, HCIB has 70,760,472 outstanding HCIB Warrants 2009/19. The final number of additional HCIB Warrants 2009/19 to be allotted and the final entitlement ratio will depend on the number of outstanding HCIB Warrants 2009/19, the number of Rights Shares and Rights Warrants as at the Closing Date (i.e 16 August 2013). Such additional HCIB Warrants 2009/19 will be listed and quoted simultaneously with the Rights Shares and Rights Warrants on 30 August 2013.
