(Unless otherwise stated, abbreviations and definitions used throughout this announcement shall have the same meaning as defined in the Company’s announcement dated 5 August 2025 in relation to the Proposed Acquisition (“Announcement”).)

We refer to the Company’s announcements on 5 August 2025 and 5 December 2025 in relation to the Proposed Acquisition.

On 5 August 2025, the Board announced that the Company had on even date entered into a share sale agreement (“Original SSA”) with Dedap Rimbun for the Proposed Acquisition.

The Board wishes to announce that on 12 December 2025, the Company had entered into the following agreements in relation to the Proposed Acquisition:

(a) a supplemental share sale agreement (“Supplemental SSA”) between the Company and Dedap Rimbun to amend and vary certain terms of the Original SSA (“Variations”). The details of the Variations are set out in Section 2 of this announcement; and

(b) a shareholders’ agreement (“SHA”) in respect of Manjaran between the Company, Dedap Rimbun and Manjaran, being one of the Conditions Precedent of the Original SSA (as amended and supplemented by the Supplemental SSA) (collectively, the “SSA”). The salient terms of the SHA are set out in Appendix I of this announcement.

The Board wishes to further announce that all Conditions Precedent of the SSA have been fulfilled on 12 December 2025. Accordingly, the SSA has become unconditional on 12 December 2025.
