On behalf of the Board of Directors of PHB ("Board"), UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) ("UOBKH") wishes to announce that the Company proposes to undertake the following:- 1. the proposed disposal of 599,999 ordinary shares in Thye On Tong Trading Sdn Bhd ("TOT") ("TOT Share(s)" or "Sale Share(s)"), representing PHB's entire equity interest in TOT of approximately 59.99% equity interest in TOT to Datuk Loh Saw Foong ("Datuk Loh") and Datin Lin Ching Yein ("Datin Lin") (collectively referred to as the "Purchasers" or "management of TOT") for a disposal consideration of RM6,899,988.50 ("Disposal Consideration") to be satisfied entirely via cash ("Proposed Disposal"); and 2. the proposed establishment of an employees' share option scheme ("ESOS") of up to 30% of the total number of issued shares of PHB ("PHB Share(s)" or "Share(s)") (excluding treasury shares, if any) at any point in time over the duration of the ESOS to the Eligible Persons (as defined in the attachment enclosed) ("Proposed ESOS"). (The Proposed Disposal and Proposed ESOS are collectively referred to as the "Proposals"). Further details on the Proposals are set out in the attachment enclosed.
