Unless otherwise stated, all abbreviations and definitions used herein shall have the same meanings as those stated in the announcements to shareholders dated 8 May 2025, 15 May 2025, 6 June 2025 and 19 August 2025 in relation to the Private Placement.

On behalf of the Board, M & A Securities is pleased to announce that Bursa Securities had, vide its letter dated  15 December 2025, resolved to approve the listing of and quotation for up to 13,721,000 new MGRC Shares to be issued pursuant to the Private Placement, on the ACE Market of Bursa Securities subject to the following conditions:

(i) MGRC and M & A Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii) MRC and M & A Securities to inform Bursa Securities upon the completion of the Proposed Private Placement;

(iii) MGRC and M & A Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.

(iv) MGRC to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Sections 75 and 76 of the Act, in the event the current authority has expired; and

(v) MGRC to furnish Bursa Securities with details of the placees as per Rule 6.16 of the Listing Requirements for its review, prior to the issuance/allotment of the Placement Shares.
