Reference is made to Turiya’s announcements on 15 August 2025, 23 October 2025, 17 November 2025, 28 November 2025 and 15 December 2025 (“Announcements”) in relation to the Proposals. Unless otherwise stated, all defined terms and abbreviations used in this announcement shall carry the same meaning as those defined in the Announcements.

On behalf of the Board, Mercury Securities wishes to announce that the non-interested shareholders’ approvals for the Proposals were not obtained at the EGM held on 15 December 2025. In this regard, conditions precedent of both the SPA and Subscription Agreement are not fulfilled and Turiya will not proceed with the completion of the Proposals (“Non-Completion”).

In view of the Non-Completion, Turiya will dispose of its entire equity interest in Turiya Properties to Dato’ Sri Shamir for a total cash consideration of RM0.1 million (“Disposal Consideration”) (“Disposal”). The Disposal is in accordance with the Remedial Mechanisms as set out in Section 2.3.2, Part A of the Circular. Subsequent to the Disposal, Dato’ Sri Shamir will then proceed to complete the Proposed Acquisition on his own and without further references to the Group.

The Disposal Consideration was determined based on the unaudited net asset value of Turiya Properties as at 30 November 2025 of approximately RM0.1 million. The Disposal will not have any material financial impact on Turiya as Turiya Properties has not commenced any business activities and there is no material property asset being held by Turiya Properties as at 30 November 2025. The Disposal is not subject to the approvals of the non-interested shareholders of Turiya and any other regulatory approvals.

Following the Non-Completion, the Subscription Agreement will cease and be terminated, and neither party shall have any claims against the other for costs, damages, compensation or otherwise.
