Reference is made to the Company’s earlier announcements dated 6 October 2025, 8 October 2025 and 14 November 2025 in relation to the Proposed Bonus Issue of Warrants, the circular to shareholders dated 1 December 2025 in relation to the Proposed Bonus Issue of Warrants (“Circular”) and the announcement dated 16 December 2025 in relation to the outcome of extraordinary general meeting for the Proposed Bonus Issue of Warrants. Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Circular.

On behalf of the Board, Malacca Securities wishes to announce that the Board had on 17 December 2025 (“Price-Fixing Date”), resolved to fix the exercise price for the Warrants B at RM0.045 per Warrant B (“Exercise Price”).

The Exercise Price was determined and fixed by the Board after taking into consideration, amongst others, the following:

(i) 5-day VWAP of HHRG Shares immediately preceding the Price-Fixing Date;

(ii) historical price movement of HHRG Shares;

(iii) prevailing market conditions; and

(iv) future funding requirements of the Group.

The Exercise Price represents a discount of approximately 31.30% to the 5-day VWAP of HHRG Shares immediately preceding the Price-Fixing Date of RM0.0655 per HHRG Share.

Further, on behalf of the Board, Malacca Securities wishes to announce that the Board, had on 17 December 2025, executed the deed poll constituting the Warrants B to be issued pursuant to the Bonus Issue of Warrants.
