The Board of Directors of Systech (“Board”) wishes to announce that Systech Capital Sdn. Bhd. [Registration No. 202401019934 (1565783-X)] (“Systech Capital” or “the Purchaser”), a wholly owned subsidiary of the Company, had on 18 December 2025 entered into a Heads of Agreement (“HOA” or “the Agreement”) with Chua Boon Piew and Lim Leong Cheong (collectively referred to as the “Vendors”) for the acquisition of 408,000 ordinary shares in Propappa Alliance Sdn. Bhd. [Registration No. 201901046948 (1356278-M)] (“PASB”) ("Sale Shares”), representing 51.00% equity interest in PASB for a purchase consideration to be determined at a later date (“Proposed Acquisition”).
