Unless otherwise stated, all abbreviations used herein shall have the same meaning as those mentioned in the announcement dated 5 March 2025 in relation to the EOT Application and the announcement dated 30 June 2025, 13 August 2025, 30 September 2025 and 28 October 2025 in relation to the variation between actual value and estimated value by 10% or more.

Pursuant to Rule 10.09(2)(e) of Listing Requirements and Paragraph 2.0 of Guidance Note 8 of the Listing Requirements, the Board of Directors of ES Sunlogy wishes to announce that the actual value of the RRPTs entered into by Savelite Engineering Sdn Bhd (“Savelite”), a wholly-owned subsidiary of the Company with its related parties, U-Teknik Trading (KL) Sdn Bhd (“U-Teknik KL”) and U-Teknik Trading Sdn Bhd (“U-Teknik Trading”), had exceeded the estimated value of the RRPTs as disclosed in the EOT Application approved by Bursa Securities by more than 10%.

The variation was due to a project owner granted the approval to the Company in March 2025 for the purchase of main switchboards, sub-switchboards and distribution boards from U-Teknik KL and U-Teknik Trading amounting to approximately RM5.9 million and RM0.7 million respectively. This amount was not included in the estimated value of the RRPT disclosed in the EOT Application approved by Bursa Securities on 5 March 2025.

The Company had on 28 November 2025 issued a Circular to Shareholder containing the details of the Proposed Shareholders’ Ratification for RRPTs of a Revenue or Trading Nature (“Proposed Shareholders’ Ratification”) and Proposed New Shareholders’ Mandate for RRPTs of a Revenue or Trading Nature (“Proposed New Shareholders’ Mandate”) and to seek the approval of its shareholders at the forthcoming Second Annual General Meeting to be convened on Wednesday, 28 January 2026.
