We refer to the announcements dated 30 April 2025, 29 May 2025, 24 June 2025, 27 August 2025, 2 September 2025, 3 September 2025 and 5 December 2025 in relation to the Private Placement. Unless otherwise defined, the definitions set out in the previous announcements shall apply herein.
On behalf of the Board, SCA wishes to announce that the Company had on 24 December 2025 withdrawn its application for an extension of time to complete the Private Placement as such extension of time is not provided under the Listing Requirements.
Pursuant to the general mandate approved by the shareholders of the Company at the 8th AGM convened on 13 June 2025, the directors of the Company are authorised, pursuant to Sections 75 and 76 of the Act, to allot and issue shares in the Company at any time until the conclusion of the next AGM of the Company, unless such approval is revoked or varied by resolution of shareholders in general meeting.
Accordingly, the Company will continue to implement the Private Placement pursuant to the aforesaid general mandate up to the conclusion of the next AGM of the Company.
