Reference is made to the announcements dated 30 October 2024, 26 December 2024, 23 January 2025, 27 January 2025, 26 June 2025, 26 August 2025 and 30 October 2025 as well as the circular to the shareholders dated 24 January 2025 in relation to the Proposals (“Circular”). Unless otherwise defined, all terms used in this announcement shall have the same meanings as defined in the Circular.
On behalf of the Board, RHB Investment Bank wishes to announce that on 23 December 2025, KLKB has obtained the Rezoning Approval. As such, all conditions precedent as set out in the SPA in relation to the Acquisition have been fulfilled. Accordingly, the SPA has become unconditional on 23 December 2025.
