Reference is made to the Company’s announcement dated 13 March 2025 in relation to the Term Sheet entered between Avangaad, Johor Ship Care Sdn. Bhd., Impresif Rezeki Sdn. Bhd., Ben Bakar Bin Abdullah, and K Sugumaran A/L Kolanthai for the Acquisition of Assets ("Proposed Acquisition"). Unless otherwise stated, all definitions and terms used in this announcement shall have the same meaning as defined in the announcement dated 13 March 2025.
The Board of Directors of Avangaad wishes to announce that the conditions precedent of the Proposed Acquisition is unable to fulfil as set out in the Term Sheet. In relation thereto, the Company, Johor Ship Care Sdn. Bhd., Impresif Rezeki Sdn. Bhd., Ben Bakar Bin Abdullah, and K Sugumaran A/L Kolanthai agreed to terminate the Term Sheet as of 29 December 2025. .
The termination of the Term Sheet does not have any financial impact to the Company and its subsidiaries.
