We refer to the announcement dated December 9, 2025 in relation to the receipt of a letter from its major shareholder, DKSH Resources (Malaysia) Sdn Bhd requesting the Company to undertake the Proposed SCR.
The Board of Directors of DKSH (Malaysia) (save for Mr Oh Sae Ung, Mr Sandeep Tewari and Mr Senthilathiban A/L Thirunilakantan who are deemed interested in the Proposed SCR) ("Non-Interested Board") wishes to announce that the Company has appointed CIMB Investment Bank Berhad as the Principal Adviser for the Proposed SCR.
In addition, in accordance with Paragraph 3.06 of the Rules on Take-overs, Mergers and Compulsory Acquisitions, the Non-Interested Board also wishes to announce that the Company has appointed Asia Equity Research Sdn Bhd as the Independent Adviser to provide comments, opinions, information and recommendation to the Non-Interested Board and the disinterested shareholders of DKSH (Malaysia) in respect of the Proposed SCR.
