We refer to the announcements dated 18 July 2025, 5 August 2025, 19 September 2025, 4 December 2025 and 8 December 2025 as well as the Company’s circular dated 27 October 2025 (“Circular”) in relation to the Proposals. Unless otherwise stated, the definitions set out in the previous announcements and Circular shall apply herein.

On behalf of the Board, SCA wishes to announce that as at the date of this announcement, the two (2) Conditions Precedent remain pending fulfilment and/or waiver. In accordance with the SPA, Abelco has again exercised its contractual right to request for a further one (1) month extension from the expiry of the Second Extension. Accordingly, the Long Stop Date is now extended to 4 February 2026 (“Third Extension”).

The SPA allows extensions of up to a maximum of three (3) months from the expiry of the original Long Stop Date (“Final Long Stop Date”). As the expiry of the Third Extension represents the Final Long Stop Date, the SPA shall terminate if the two (2) Conditions Precedent are still not fulfilled or waived by the non-breaching party by the expiry of the Third Extension.

The Company will continue to monitor the progress of the fulfilment of the Conditions Precedent and will make further announcements in due course should there be any material developments.
