Reference is made to the announcements dated 30 June 2025, 29 September 2025, and 31 December 2025 in relation to the Heads of Agreement (HOA) entered into with Dato' Sri Pua. Unless otherwise stated, the terms used herein shall bear the same meaning as defined in the said announcements. The Board of Directors of the Company wishes to announce that the HOA has expired on 31 December 2025. Following the expiry, the Board wishes to further inform that the parties have mutually decided not to extend the HOA further as they were unable to reach an agreement on the definitive terms and conditions of the Proposed Acquisitions. Consequent thereto, the HOA shall lapse and have no further force or effect. This announcement is dated 5 January 2026.
