The Board of Directors of PMC (“Board”) wishes to announce the following:

1. PMRI Investments (Singapore) Pte Ltd (“PMRI” or “Vendor”), a wholly-owned subsidiary of Tunas Jaya Sdn Bhd (“TJSB”), which in turn is a wholly-owned subsidiary of Baiduri Pertama Sdn Bhd (“BPSB”), which in turn is a wholly-owned subsidiary of PMC had on 3 January 2026 entered into a share sale agreement (“SSA”) with Wah Kong Corporation Sdn Bhd (“WKCSB” or “Purchaser”) for the disposal of 15.15% equity interest in Indulgence World Sdn Bhd (“IWSB”) comprising 15,150 ordinary shares in IWSB (“Sale Shares”) for a cash consideration of RM8,000,000 (“Disposal Consideration 1”) (“Proposed Shares Disposal”); and

2. GCIH Trademarks Limited (“GCIH” or “Assignor”), a wholly-owned subsidiary of PMRI, which in turn is a wholly-owned subsidiary of TJSB, which in turn is a wholly-owned subsidiary of BPSB, which in turn is a wholly-owned subsidiary of PMC had on 3 January 2026 entered into an assignment agreement (“AA”) with Network Foods Industries Sdn Bhd (“NFISB” or “Assignee”) for the assignment of trademarks in relation to goods sold by the Assignor in the course of its trade to NFISB for a cash consideration of RM7,000,000 (“Disposal Consideration 2”) (“Proposed Assignment”).
