The Board of Directors of EVD wishes to announce that EVD Engineering Sdn. Bhd. (“EVDE”), a wholly-owned subsidiary of the Company, had on 2 January 2026, received a statutory notice dated 2 January 2026, issued pursuant to Sections 465 and 466 of the Companies Act 2016 (“Notice”), from the solicitors of Yap Engineering & Trading (M) Sdn. Bhd. (“YETM”).

EVDE is not a major subsidiary of the Company.

Further details pertaining to the Notice are as follows:

1.    The details of events leading to the serving of the Notice and the particulars of the alleged claim

YETM claimed that EVDE has failed, refused and/or neglected to make payment of the alleged aggregate outstanding sums of RM938,980.27 purportedly due and owing to YETM, arising out of or in connection with:

(a) The alleged outstanding sum of RM134,924.35 comprising adjudicated sums, interest and adjudication cost awarded under an adjudication decision dated 16 April 2024 under Adjudication Proceeding No.: AIAC/D/ADJ-5124-2023 between YETM as the claimant and EVDE as the respondent;

(b) The alleged outstanding sum of RM370,473.90 in respect of retention sum, performance bond and variation order pursuant to a Letter of Award dated 1 July 2020 for the works of sub-contract for supply, delivery, installation, testing, commissioning and maintenance of fire detection and protection system for Projek Mass Rapid Transit Laluan 2: Sungai Buloh - Serdang - Putrajaya (SSP) design, supply, installation, testing, commissioning and maintenance of mechanical & electrical works which forms part of the main sub­-contract for the construction, completion, testing, commissioning, care and maintenance of Conlay station; and

(c) The alleged outstanding sum of RM433,582.02 in respect of retention sum, performance bond and variation order pursuant to a Letter of Award dated 1 July 2020 for the works of sub-contract for supply, delivery, installation, testing, commissioning and maintenance of fire detection and protection system for Projek Mass Rapid Transit Laluan 2: Sungai Buloh - Serdang - Putrajaya (SSP) design, supply, installation, testing, commissioning and maintenance of mechanical & electrical works which forms part of the main sub­-contract for the construction, completion, testing, commissioning, care and maintenance of KLCC East station.

 2.    The financial and operational impact of the Notice

As at the date of this announcement, the Notice is not expected to have material financial impact (except for the potential liability amounting to RM938,980.27) and does not have any operational impact on the Group.

3.     The expected losses, if any arising from the Notice

The expected losses, if any, arising from the Notice is RM938,980.27.

4.     Steps taken and proposed to be taken

EVDE is seeking the necessary legal advice to resolve and/or defend the claims arising from this Notice.

The Company will make further announcement on any material development on this matter in due course.
