Reference is made to the Company’s announcement made on 26 June 2025 in relation to the Shareholders’ Agreement dated 26 June 2025 entered between Vanzo, Mr. Duong Tien Dung, and Vanzo Viet Nam Company Limited (“VVCL”) (collectively, the “Parties”).

The Board of Directors of Vanzo (the “Board”) wishes to announce that the Parties have mutually agreed to terminate the Shareholders’ Agreement dated 26 June 2025 (“Agreement”) pursuant to the terms of the Agreement via a Mutual Termination Agreement (“MT Agreement”) dated 6 January 2026. 

As at the date of the MT Agreement, the Company has not contributed its portion of USD35,000.00 (United State Dollar Thirty-Five Thousand Only), representing 70% of the total intended charter capital of VVCL (“Contribution Amount”). As such, Mr. Duong Tien Dung remains the sole member of VVCL as at the date of this announcement.
