The Board of Directors of the Company wishes to announce that the Company proposes to seek the irredeemable convertible preference share ("ICPS") holders' approval for the proposed adoption of a new Constitution of the Company in place of the Company's existing Memorandum and Articles of Association at an ICPS holders' meeting to be convened by the Company.

A circular in relation to the above proposal will be issued to the ICPS holders in due course.
