(Unless otherwise defined, defined terms used in this announcement shall carry the same meaning as those defined in the announcement dated 28 July 2025 in relation to the Proposals ("Announcement")).
Reference is made to the Announcement and the Circular dated 16 October 2025 in relation to the Proposals.
On behalf of the Board, RHB Investment Bank wishes to announce that following the approvals obtained from the shareholders of the Company in relation to the Proposals at the EGM convened on 31 October 2025 and from the MTN holder in relation to the proposed issuance of RPS by DGSB and the Proposed MTN Extension, the following agreements and letter have been executed by the parties, marking the completion of the Proposals:
(i) CRNCPS redemption letter;
(ii) supplemental CRNCPS Subscription Agreement;
(iii) supplemental Call and Put Option Agreements; and
(iv) supplemental Master Lease Agreement.
