Pursuant to Paragraph 9.19(15) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of NEXG wishes to announce that the Company has received a notice in writing dated 15 January 2026 from Messrs. Baker Tilly Monteiro Heng PLT (“Baker Tilly”) of their resignation as the Auditors of the Company pursuant to Section 281 of the Companies Act, 2016.

Baker Tilly was appointed as the Auditors of the Company at the Seventeenth Annual General Meeting (“AGM”) on 24 September 2025 in place of Messrs. Crowe Malaysia PLT. Following Baker Tilly’s appointment at the AGM, they found that the Board composition has changed significantly from that which existed during the last AGM on which Baker Tilly’s initial engagement assessment were based. As the audit has not commenced and the overall engagement profiles now differ from those originally assessed, Baker Tilly have decided to tender their resignation as Auditors of the Company.

Save for the above, the Board is not aware of any matters that need to be brought to the attention of the shareholders of the Company.

Based on the Audit and Risk Management Committee’s recommendation, the Board has approved to appoint Messrs. SBY Partners PLT after assessing their professional competence and experience; independence and objectivity; audit resources and methodology; and proposed audit fees for financial year ending 31 March 2026 in place of Baker Tilly subject to the Company receiving the written consent to act as Auditors of the Company from Messrs. SBY Partners PLT pursuant to Section 264 (5) of the Companies Act, 2016.

The Company will make further announcement once the written consent to act has been received.
