We refer to the announcements dated 2 January 2026 and 16 January 2026 in relation to the Private Placement. Unless otherwise defined, the definitions set out in the previous announcements shall apply herein.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities has, vide its letter dated 20 January 2026, resolved to approve the listing of and quotation for up to 40,000,000 new GOHUB Shares to be issued pursuant to the Private Placement.

The approval by Bursa Securities for the above is subject to the following conditions:-

1. GOHUB and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Private Placement;
2. UOBKH is required to furnish Bursa Securities with details of the placees in accordance with Rule 6.16 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the new Shares to be issued pursuant to the Private Placement;
3. in the event the Private Placement is not completed before the next AGM, UOBKH is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming AGM for the authority to issue shares pursuant to the Act before the listing of the Placement Shares;
4. GOHUB and UOBKH are required to inform Bursa Securities upon completion of the Private Placement; and
5. GOHUB is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Private Placement is completed.
