1. Introduction

 The Board of Directors of TRC Synergy Berhad (“the Company”) wishes to announce that the Registrar of Companies, Brunei Darussalam, had on 13 January 2026 approved the application to strike off TRC (B) Sdn Bhd (RC/00008574) (“TRCB”), a subsidiary company of the Group. The approval was communicated to the Company on 20 January 2026.

2. Information of TRCB

TRCB is a private limited company incorporated on 3rd November 2011 in Brunei Darussalam with its registered address at Unit 36, 1st Floor, Haji Munchit & Hajah Rapiah Kompleks, Simpang 13, Kampung Jaya Setia, Jalan Berakas, Bandar Seri Begawan, BB2713 Brunei Darussalam.  TRCB is a subsidiary to Trans Resources Corporation Sdn Bhd, a wholly-owned subsidiary of the Company.

3. Rationale of the deregistration

Since the completion of the contract Modernisation of Brunei International Airport Terminal in December 2017, TRCB has been dormant and the Company has no intention to activate its business in the future. The deregistration is in the best interest of the Company as it will reduce the administrative resources and cost incurred to maintain the respective subsidiary.

4. Financial Effects

The deregistration of TRCB will not have any material effect on the earning and net asset per share of the Company for the financial year ending 31 December 2026.

5. Approval Required

The deregistration of TRCB is not subject to the approval of the shareholders of the Company.
