We refer to our announcement dated 12 January 2026 on the conditional voluntary take-over offer by Sunway Berhad (“Sunway”) to acquire all the 3,505,166,120 ordinary shares in IJM Corporation Berhad (“IJM”) (“Offer Shares”) at an offer price of RM3.15 per Offer Share (“Proposed Offer”) and to recent media reports in relation to IJM.

The Board of Directors of Sunway wishes to clarify that the Proposed Offer is proceeding in accordance with the Rules on Take-overs, Mergers and Compulsory Acquisitions issued by the Securities Commission Malaysia, and the Proposed Offer is subject to the approval of the shareholders of Sunway to be sought at an extraordinary general meeting of Sunway to be convened.
