The Board of Directors (“Board”) of Sin-Kung Logistics Berhad (“SKL” or the “Company”) wishes to announce that the Company had on 23 January 2026 served a Notice of Arbitration against Teleport Everywhere Pte. Ltd. (“Teleport”) under the Asian International Arbitration Centre Arbitration Rules, 2021 (“Arbitration”).

The Arbitration arises from a Trucking Operator Agreement dated 30 January 2023 entered between Teleport and SKL (“the Agreement”). Under the Agreement, SKL was appointed as the exclusive trucking operator to transport cargoes for flights under Capital A Berhad (“AirAsia”) for specific routes within Malaysia and Singapore.

The dispute concerns Teleport’s breach of the exclusivity provisions of the Agreement by engaging other third-party trucking operators to transport cargoes for flights under AirAsia and further informed SKL that Teleport is implementing a new “multi-providers model” which involves the participation of various trucking companies to carry out cargoes for AirAsia.

SKL had on 5 December 2025 through solicitors issued a notice to Teleport requesting that Teleport remedy such breach within 60 days thereof, failing which the SKL would hold Teleport liable for all losses suffered by the SKL. Teleport had on 9 December 2025 responded via a letter, denying the breach and maintains that the Agreement is unequivocally non-exclusive.

SKL seeks the following reliefs in the Arbitration:

1. A declaration that SKL is the exclusive trucking operator under the Agreement;
2. A declaration that Teleport has breached the Agreement;
3. A declaration that SKL is discharged from further performing its obligations under the Agreement;
4. An order for damages for loss and damage suffered by reason of the breach (including but not limited to loss of profit of RM4,000,000.00 per year; and costs of at least RM7,000,000.00 incurred (and continuing to incur) in carrying out its obligations under the Agreement which include, amongst others, the purchase of sufficient trucks and the designation of the Assigned Personnel);
5. Interest;
6. Costs;
7. Such further and/or other reliefs as the Tribunal deems fit and proper.

The Company does not expect any material operational and financial impact towards the Company and its subsidiaries for the financial year ending 31 December 2026 arising from the Arbitration.

None of the directors and/or major shareholders of the Company, or persons connected with them, have any interest, direct or indirect, in the aforesaid Arbitration.

The Company will make further announcement on any material development as and when it is appropriate and/or necessary.
