We refer to the announcements made on 10 September 2025, 12 September 2025, 7 November 2025, 11 November 2025, 24 December 2025 and 29 December 2025 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities has, vide its letter dated 26 January 2026, approved the listing and quotation of the following:

1. up to 196,950,000 Placement Shares II to be issued pursuant to the Proposed Private Placement II; and
2. such number of new ordinary shares, representing up to 15% of the total number of issued shares of Handal (excluding treasury shares, if any), to be issued pursuant to the Proposed ESOS.

The approval of Bursa Securities for the above is subject to the following conditions:

1. TA Securities to furnish Bursa Securities with details of the proposed placee(s) as per Paragraph 6.15 of the Listing Requirements for Bursa Securities’ clearance, prior to the issuance/allotment of the Placement Shares II;
2. Confirmation by TA Securities on the compliance with the 25% of the public shareholding spread requirements pursuant to Paragraph 8.02(1) of the Listing Requirements upon the listing and quotation of the Placement Shares II;
3. Handal to furnish Bursa Securities with the certified true copy of the resolutions passed by the shareholders at the EGM approving the Proposals;
4. TA Securities and Handal must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;
5. TA Securities to inform Bursa Securities upon the completion of the Proposed Private Placement II;
6. TA Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement II is completed;
7. TA Securities is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to Paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation;
8. Handal is required to furnish Bursa Securities on a quarterly basis a summary of the total number of Handal Shares listed pursuant to the Proposed ESOS as at the end of each quarter together with a detailed computation of listing fees payable; and
9. Payment of additional listing fee, if any, based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable (if applicable).
