We refer to the Company’s announcements dated 30 November 2022, 31 January 2022, 29 March 2021, 6 December 2018, 23 September 2016, 16 May 2014, 20 November 2013, 9 October 2013, 16 August 2013, 12 June 2013, 27 May 2013 and 21 May 2013 respectively. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the announcement dated 30 November 2022.
By a Novation Agreement dated 26 November 2014, made between Suria, SBC and Jesselton Quay Properties Sdn. Bhd. (“JQPSB”), SBC transferred all its rights, interests, titles, benefits and obligations under the Joint Venture Agreement dated 21 May 2013 (“JVA”) to JQPSB.
To date, JQPSB has paid the cash component amounting to RM21 million to Suria in accordance with the terms of the ARA. The remaining cash component of RM11 million, which was originally due to be settled by 31 December 2025, has been mutually agreed by the parties to be varied.
