1. INTRODUCTION

The Board of Directors ("the Board”) of BM GreenTech Berhad (“BMG”) wishes to announce that its indirect wholly-owned subsidiary, Plus Xnergy Services Sdn. Bhd. (“PXS”), has entered into two separate agreements with Cenergi Aeropolis Renewable Energy Sdn. Bhd. (formerly known as Cenergi Perdak Hydro Sdn. Bhd.)(“CARE”), i) Construction Contract; and ii) Supply Contract on 28 January 2026 (collectively “Agreements”), involving a 36 MWp/ 30 MWac Gound Mounted Solar Photovoltaic Plant with Battery Energy Storage System (“BESS”) under Self-Consumption (“SELCO”) Scheme, which is one of the largest in Malaysia, on part of the land located at Lot 14, Bandar Lapangan Terbang Antarabangsa, Malaysia (“KLIA”) (“Project”).

2.  INFORMATION ON PXS

PXS was incorporated in Malaysia as a private company limited by shares and having its registered address at 12th Floor, Menara Symphony, No. 5, Jalan Prof. Khoo Kay Kim, Seksyen 13, 46200 Petaling Jaya, Selangor Darul Ehsan. PXS is an indirect wholly-owned subsidiary of BMG, held through Plus Xnergy Holding Sdn. Bhd. (“PXH”).

The nature of business of PXS is developing, installing, providing and maintaining solar PV system and to provide consultancy for the development, management, designing, integration, improvement and construction of all kinds of solar energy systems.

3. INFORMATION ON CARE

CARE was incorporated in Malaysia as a private company limited by shares and having its registered address at Level 4, Block E, Dataran PHB, Saujana Resort, Section U2, 40150 Shah Alam, Selangor Darul Ehsan, Malaysia.

CARE is a joint-venture between Cenergi SEA Berhad (“Cenergi”) and KLIA Aeropolis Sdn. Bhd. (“KLIA Aeropolis”). Cenergi is a subsidiary of UEM Lestra Berhad, while KLIA Aeropolis is wholly-owned subsidiary of Malaysia Airports Holdings Berhad.

The nature of business of CARE involves ownership, development, operation and maintenance of renewable energy facilities for the purpose of generating and supply of electrical power from renewable solar resources.

4. DETAILS OF THE AGREEMENTS

The Construction Price for the Construction Contract is RM42,812,299.04 (Ringgit Malaysia: Forty-Two Million, Eight Hundred and Twelve Thousand, Two Hundred and Ninety-Nine and Sen Four Only) to provide engineering, construction, and commissioning for the Project.

The Supply Price for the Supply Contract is RM28,951,030.26 (Ringgit Malaysia: Twenty-Eight Million, Nine Hundred and Fifty-One Thousand, Thirty and Sen Twenty-Six Only) to supply and deliver equipment and materials in relation to the Project. 

5. FINANCIAL EFFECTS

Barring any unforeseen circumstances, the Project is expected to contribute positively to the net assets and earnings per share of BMG and its group of companies (“BMG Group”) for the financial year ending 31 March 2027 and onwards until the completion of the Project.

6. RISK FACTORS

The Company does not foresee any exceptional risk other than the normal project, contractual and risks from external factors associated with the execution of the Project. Nevertheless, the Company will take the necessary steps to mitigate the risks as and when they occur.

7. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS

None of the Directors and/or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the Agreements.

8. STATEMENT BY THE BOARD OF DIRECTORS

The Board of Directors of the Company is of the opinion that the Project is within the ordinary course of business of BMG Group and the execution of the Agreements are in the best interest of BMG.
