The Board of Directors of HMCB (“Board”) wishes to announce that HMCB has on 30 January 2026 entered into a Shares Sales Agreement (“SSA”) with Ree Fong Agriculture Sdn. Bhd. [Registration No.: 198301011153 (106472-K)] to dispose its entire equity interest of 2,221,140 ordinary shares in Teras Gemumi Sdn Bhd [Registration No. : 199401019800 (305479-M)] (“TGSB”) and its subsidiaries for a total cash consideration of RM51.6 million (“Proposed Disposal”).
TGSB is a wholly-owned subsidiary of HMCB. Upon completion of the Proposed Disposal, TGSB, along with its subsidiary, shall cease as the subsidiary of HMSB.
