We refer to the announcements dated 29 September 2025, 16 October 2025, 17 October 2025 and 10 November 2025 in relation to the Capital Reduction (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On behalf of the Board, SCA wishes to announce that the Company had on 5 February 2026 received a notice dated 5 February 2026 issued by the Registrar of Companies confirming that on 23 December 2025, all requirements with respect to the Capital Reduction as stated in the special resolution dated 10 November 2025 have been complied with (“Notice”).
Pursuant to Section 119(4) of the Act, the Notice shall be conclusive evidence that all the requirements of the Act with respect to the Capital Reduction have been complied with. Accordingly, the Capital Reduction took effect on 5 February 2026.
Following the completion of the Capital Reduction, the issued share capital of the Company as at 5 February 2026 is RM45,599,526.71 comprising 330,516,179 Shares.
