Reference is made to the announcement dated 3 February 2025 in relation to the Proposed Disposal (“Announcement”). Unless otherwise stated, words and phrases used in this announcement shall have the same meaning as defined in the Announcement.

The Board of Directors of Malakoff wishes to announce that the Sales and Purchase Agreement ("SPA") has lapsed due to the non-fulfilment of the Conditions Precedent upon the expiry of the long-stop date on 3 February 2026. A written notice was issued by Malakoff to KJ Technical Services Sdn. Bhd. ("KJTS") on 4 February 2026, stating that the SPA shall cease to have any further force and effect from that date.

Malakoff shall refund the full Deposit paid by KJTS to Malakoff in accordance with the SPA, and each party shall have no further claim against the other, save for any antecedent breach of the SPA.
