1. Introduction

WCT Holdings Berhad (“WCTH” or the “Issuer”) wishes to announce that WCTH had on 6 February 2026 lodged the required information and relevant documents in relation to the Sukuk Wakalah Programme with the Securities Commission Malaysia (“SC”) pursuant to the Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework issued by the SC on 9 March 2015 (as may be amended, revised and/or substituted from time to time) (“LOLA Guidelines”).

2. Details of the Sukuk Wakalah Programme

The Sukuk Wakalah Programme allows for the issuance of Senior Sukuk Wakalah and/or Perpetual Sukuk Wakalah (collectively referred to as "Sukuk Wakalah" and where the context so requires, Sukuk Wakalah shall mean each or any one of them) from time to time, provided that the aggregaate outstanding nominal value of Sukuk Wakalah shall not exceed the Sukuk Wakalah Programme's limit of RM5.0 billion at any one time.

The Sukuk Wakalah Programme shall have a perpetual programme tenure. The first issuance of the Sukuk Wakalah under the Sukuk Wakalah Programme shall be made within ninety (90) business days from the date of lodgement or such other period as may be imposed by the SC. The tenure of each Senior Sukuk Wakalah to be issued shall be at least one (1) year and up to such period to be determined prior to each issuance, while the tenure of each Perpetual Sukuk Wakalah to be issued shall be perpetual.

Each Sukuk Wakalah to be issued under the Sukuk Wakalah Programme may be issued on a rated, unrated or a combination of rated and unrated, as mutually agreed between the relevant lead manager(s) and/or the subscribers, as the case may be and the Issuer prior to each issuance of the relevant Sukuk Wakalah.

The Senior Sukuk Wakalah and Perpetual Sukuk Wakalah under the Sukuk Wakalah Programme were assigned preliminary credit ratings of A+IS and A-IS respectively, with a positive outlook, by MARC Ratings Berhad.

Under the Sukuk Wakalah Programme, WCTH would also have the flexibility to issue Sustainability Sukuk Wakalah and/or Sustainability-Linked Sukuk Wakalah.

3. Utilisation of Proceeds

The proceeds from the issuance of Sukuk Wakalah under the Sukuk Wakalah Programme shall be utilised by any of the entities within the Issuer and its group of companies (“WCTH Group”) for the following Shariah-compliant purposes:

a) for working capital requirements, capital expenditure, general investments and/or general corporate purposes of the WCTH Group;

b) for refinancing/repayment/payment of existing borrowings/financings/corporate bonds/Sukuk issues and/or future Shariah-compliant financings/Sukuk issues of the WCTH Group;

c) to defray fees, costs and expenses relating to the establishment of the Sukuk Wakalah Programme and the issuances of the Sukuk Wakalah; and/or

d) to fund the Sukuk Trustee’s Reimbursement Account under the Sukuk Wakalah Programme.

4. Advisers

AmInvestment Bank Berhad and Maybank Investment Bank Berhad are the Joint Principal Advisers, Joint Lead Arrangers and Joint Lead Managers for the Sukuk Wakalah Programme.

AmBank Islamic Berhad and Maybank Islamic Berhad are the Joint Shariah Advisers for the Sukuk Wakalah Programme.
