Pursuant to Paragraph 10.09(2)(e) of the Main Market Listing Requirements and Practice Note 12 of Bursa Malaysia Securities Berhad and further to DXN Holdings Berhad. (“DXN”)’s announcement dated 26 December 2025, the Board of Directors of DXN wishes to announce that the actual aggregated value of the recurrent related party transaction (“RRPT”) entered into between DXN Group and Nagajiva Agro Farms Private Limited has further exceeded the total estimated aggregated value approved under the shareholders’ mandate at the Company’s 29th Annual General Meeting held on 13 August 2025 by more than 10%.

The variance was mainly due to higher than anticipated purchase volume during the period under review.
