The Board of Directors of Theta Edge Berhad (“Theta” or “the Company”) refers to the Company’s earlier announcement in relation to the Memorandum of Understanding (“MOU”) entered into between Theta and MARA Incorporated Sdn Bhd (“MARA Inc”).

The Board wishes to provide the following update:

Pursuant to the MOU, the parties have been actively engaging in discussions to identify and evaluate potential artificial intelligence (“AI”) and digitalization–driven initiatives within the MARA ecosystem. These initiatives are aligned with MARA’s strategic objectives to enhance digital capabilities, operational efficiency, and value creation across its portfolio of agencies, institutions and enterprises.

The Company is currently in the process of finalising a consortium framework agreement to facilitate the structured execution of the identified AI and Digitalization driven projects. The proposed consortium arrangement is intended to define the roles, responsibilities and governance structure of the participating parties for implementation purposes.

At this juncture, the discussions remain ongoing and subject to the execution of definitive agreements and the necessary internal and regulatory approvals, where applicable.

The Company will make further announcements as and when there are material developments in accordance with the Listing Requirements of Bursa Malaysia Securities Berhad.
