SUNWAY-C56 - Notice of Book Closure

ADJUSTMENTS TO THE TERMS AND CONDITIONS OF EUROPEAN STYLE NON-COLLATERALIZED CASH SETTLED CALL WARRANTS EXPIRING ON 1 SEPTEMBER 2026 OVER ORDINARY SHARES OF SUNWAY BERHAD ("SUNWAY") ("SUNWAY SHARES") ("SUNWAY-C56") PURSUANT TO A DISTRIBUTION OF ORDINARY SHARES IN SUNWAY HEALTHCARE HOLDINGS BERHAD ("SHH") ("DISTRIBUTION SHARES") TO THE ENTITLED SHAREHOLDERS OF SUNWAY BY WAY OF DIVIDEND-IN-SPECIE ON THE BASIS OF ONE DISTRIBUTION SHARE FOR EVERY 10 EXISTING SUNWAY SHARES HELD AS AT 5:00 P.M. ON 11 MARCH 2026 ("DISTRIBUTION")

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 10 Mar 2026
2) The last date of lodgment : 11 Mar 2026

Remarks :

The Distribution is conditional upon the successful completion of the initial public offering of SHH ("SHH IPO") and the listing of and quotation for the entire ordinary shares of SHH on the Main Market of Bursa Malaysia Securities Berhad. Effective 10 March 2026 the Exercise Price and Exercise Ratio will be adjusted based on the following formulae (and rounded to the nearest 4 dp):

(i) Adjusted Exercise Price = X x (P-D) / P
(ii) Adjusted Exercise Ratio = E x (P-D) / P
P = Closing price of Sunway Shares on the last Market Day on which Sunway Shares are traded on a cum-entitlement basis
D = The indicative IPO price of ordinary shares of SHH as indicated in its prospectus dated 27 February 2026, subject to any adjustment as announced prior to the ex-date, multiplied by 0.1
X = RM 6.76, being the existing Exercise Price immediately prior to the Distribution
E = 5.8, being the existing Exercise Ratio immediately prior to the Distribution

No adjustments shall be made if the formulae stated above results in an adjustment which would amount to less than 2% of the Exercise Ratio and/or Exercise Price being changed.

Investors should be aware of the possibility that, if the SHH IPO or the listing of the ordinary shares of SHH (which are expected to be implemented after the ex-date) is not successful, the Distribution may not occur but nonetheless the adjustments set out above will not be reversed. Even if the SHH IPO proceeds, the IPO price may be different from the indicative IPO price. In such cases, the price of the Sunway Shares and/or SUNWAY-C56 may fluctuate rapidly potentially causing investors to suffer losses on their investment of SUNWAY-C56. Investors should exercise particular caution in trading SUNWAY-C56.
