Reference is made to the announcements dated 9 February 2026, 12 February 2026, and 13 February 2026 in respect of the aforesaid matter ("Announcements").

(Unless otherwise stated, the words and abbreviations used herein shall have the same meaning as those defined in the Announcements.)

The Board of Directors of the Company wishes to announce that AJGE, an indirect wholly-owned subsidiary of AJR, is transferring its RPS in BSI to Ann Joo Trading Sdn. Bhd. (“AJT”) (the “Transfer”).

AJT, which is a wholly-owned subsidiary of AJR, is principally involved in trading, retailing, importing, exporting and supplying building materials, investment holdings, general trading, and the provision of moneylending services under a valid licence issued pursuant to the Moneylenders Act 1951 [Act 400].

The Transfer involves AJT acquiring 74,119,049 RPS of BSI from AJGE for a consideration of Ringgit Malaysia Seventy Four Million One Hundred Nineteen Thousand Forty Nine (RM74,119,049) only (“Purchase Consideration”).

The Purchase Consideration was based on the redemption price of the outstanding RPS as stipulated in the RPS Terms.

The Transfer has received consent from NKS and DSI, being the existing shareholders of BSI, and the relevant approvals from the directors and shareholders of AJGE and AJT, respectively.

The registration of the Transfer in the register of members will be effected upon the instrument of transfer being duly stamped.
