1. INTRODUCTION

The Board of Directors of MCOM (“Board”) wishes to announce that MCOM Network Sdn. Bhd. [200601005314 (725063-P)] (“MNSB”), a wholly owned subsidiary of MCOM, has on 10 March 2026 entered into a Digital Advertising and Traffic Generation Agreement (“Services Agreement”) with AddVersion Inc (“AVI”).

Further details of the Services Agreement are set out in the ensuing sections of this announcement.

2. INFORMATION ON TRANSACTING PARTIES

(i) MNSB

MNSB is a private limited company incorporated in Malaysia on 28 February 2026 under the Companies Act 1965, with its registered office located at Unit 3A-12, Level 3A, Tower A, Vertical Business Suite, Avenue 3, Bangsar South, No. 8 Jalan Kerinchi, Kuala Lumpur, Wilayah Persekutuan and business address at No 2-7 & 3-7, Jalan Puteri 4/6, Bandar Puteri Puchong, Puchong, Selangor.

MNSB is principally engaged in the provision of mobile payment solution services, data centre and other IT hosting services including ancillary services, as well as the supply, sale and/or leasing of IT-related hardware, infrastructure, computer equipment and other related ancillary equipment.

MNSB is a wholly-owned subsidiary of MCOM.

(ii) AVI

AVI is a private corporation incorporated in the Republic of Korea on 1 February 2019 under the Commercial Code of the Republic of Korea with its registered office and business address at #758, 490 Jungbong-daero, Seo-gu, Incheon, Republic of Korea. AVI is principally engaged in the provision of application software development and supply.

3. SALIENT TERMS OF THE SERVICES AGREEMENT

3.1 SCOPE OF WORK

Pursuant to the Services Agreement, MNSB has been appointed as the service provider for the provision of digital marketing, advertising and traffic generation services, where the scope of works includes but not limited to the management of online advertising campaigns, social media & affiliate marketing, traffic & lead generation, app promotion as well as user acquisition campaigns.

3.2 DURATION

The Services Agreement shall be for a minimum cooperation period of 12 months.

3.3 VALUE

The Services Agreement value is subject to a fixed monthly service fee of USD16,500, which is required to be paid in advance of each month.

4. FINANCIAL EFFECTS

The Services Agreement will not have any effect on the issued share capital and substantial shareholders’ shareholding of the Company as it does not involve any issuance of new shares in the Company. However, the Board envisages that the Services Agreement is expected to contribute positively to the future earnings and net assets of the Company over the duration of the Services Agreement.

5. RISK FACTORS

The Company does not foresee any material risk other than the normal operational risks associated with the Services Agreement, which are within the ordinary course of business of the Company. Nevertheless, the Company will take necessary measures to manage and mitigate such risks as and when they arise.

6. APPROVALS REQUIRED

The Services Agreement is not subject to the approval of the shareholders of MCOM and/ or any other relevant authorities.

7. INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS, CHIEF EXECUTIVES AND/OR PERSONS CONNECTED WITH THEM

None of the directors, major shareholders and/or Chief Executives of the Company and/ or persons connected with them has any interest, whether direct and indirect, in the Services Agreement.

8. DIRECTORS’ STATEMENT

The Board, after due consideration of all aspects of the Services Agreement, is of the opinion that the Services Agreement is in the best interest of the Company.
